Digital Products Terms & Conditions

These Terms & Conditions (the "Terms") govern your purchase, access, and use of all digital products offered by North Star Innovations LLC, including but not limited to digital books, guides, templates, supplemental files, downloadable materials, membership content, and other electronically delivered resources (collectively, the "Digital Products"). By completing your purchase, you affirm that you have read, understood, and agree to be bound by these Terms in full.

1. Nature of Digital Products

All Digital Products are intangible, electronically delivered items. No physical goods will be shipped. Access may be provided through direct download, a web-based portal, a membership site, a private link, or another digital delivery method chosen by North Star Innovations LLC.

2. License and Permitted Use

Upon purchase, North Star Innovations LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Digital Products for your personal or internal business use. This license does not grant you ownership of the Digital Products or any associated intellectual property.

You are permitted to:

Access and use the Digital Products for your own education, business operations, or creative work;
Apply the concepts, frameworks, or methodologies within your own projects or client work; and
Store the Digital Products for your personal, non-commercial use.

You are not permitted to:

Share, resell, license, sublicense, distribute, or otherwise transfer the Digital Products to any third party;
Share login credentials or provide access to membership-protected areas to any other individual or entity;
Republish, reproduce, upload, post, transmit, or distribute the Digital Products in any format;
Create derivative works, books, courses, templates, or digital products based on the Digital Products;
Use the Digital Products to train AI models, datasets, or automated systems without explicit written permission; or
Remove or modify any proprietary notices, copyright markings, or branding.

3. Account and Access Security

Certain Digital Products may be delivered through a secure membership portal or similar access-controlled environment. You agree to protect your login credentials and not share them with others. Unauthorized access or credential sharing may result in immediate termination of access without refund.

4. Delivery of Digital Access

After completing your purchase, you will receive access to the Digital Product via one or more of the following:

An email containing your login credentials or download link;
Redirection to a digital portal or membership area;
Immediate browser-based access to hosted content; or
A private or restricted-access link.

It is your responsibility to ensure that you have provided a valid email address and to check your spam folder if access instructions do not appear within a reasonable timeframe.

5. Refund Policy

Because Digital Products provide immediate access to proprietary intellectual property, all sales are final. No refunds, chargebacks, exchanges, or credits will be issued once access has been granted, except as required by applicable law.

By completing your purchase, you acknowledge and agree that you are purchasing a non-returnable, non-cancellable digital product.

6. Prohibited Sharing, Redistribution, and Misuse

All Digital Products are copyrighted and protected under United States and international intellectual property laws.

You explicitly agree that you will not:

Share, forward, or redistribute any Digital Product;
Upload Digital Products to shared drives, group folders, or public platforms;
Use Digital Products in group trainings, workshops, or courses without written permission;
Provide or sell access to Digital Products as part of any paid service;
Use Digital Products to develop competing intellectual property.

Unauthorized use may result in:

Immediate access termination without refund;
Assessment of damages and legal action; and
Permanent revocation of access to all current and future products.

7. Intellectual Property Rights

All Digital Products and related content—including text, templates, prompts, frameworks, diagrams, and structural organization—are the exclusive property of North Star Innovations LLC. No ownership or intellectual property rights are transferred to you at any time.

8. Updates and Revisions

North Star Innovations LLC may update, revise, or enhance Digital Products at its discretion. Minor updates, improvements, or corrections may be provided at no additional cost. Major revisions or new editions may be sold separately.

9. Suspension or Termination of Access

North Star Innovations LLC reserves the right to suspend or terminate your access to any Digital Product, without refund, if you:

Violate these Terms;
Engage in unauthorized sharing or redistribution;
Initiate a chargeback or payment dispute;
Commit any fraudulent or abusive behavior; or
Use the Digital Products in ways harmful to the brand or its customers.

11. Limitation of Liability

To the fullest extent permitted by law, North Star Innovations LLC shall not be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

In no event shall the total liability of North Star Innovations LLC exceed the amount paid by you for the Digital Product.

12. No Guarantee of Results

Digital Products are provided for informational and educational purposes only. North Star Innovations LLC makes no guarantees regarding business outcomes, financial performance, or specific results. Your success depends on your individual circumstances, implementation, and market conditions.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Florida. Any dispute arising out of or related to these Terms shall first be addressed through good-faith negotiation, followed by mediation, and then binding arbitration in Broward County, Florida, if necessary.

14. Modification of Terms

North Star Innovations LLC reserves the right to modify or update these Terms at any time. Changes will be effective as of the "Last Updated" date above. Continued access or use of any Digital Product constitutes acceptance of the revised Terms.

15. Acceptance of Terms

By purchasing, accessing, or using any Digital Product from North Star Innovations LLC, you acknowledge that you have read these Terms & Conditions, understand them, and agree to be legally bound by them. If you do not agree to these Terms, do not purchase or use the Digital Products.
